Terms of Service

1. Acceptance of Terms

By accessing or using Sultan AI ("Service"), operated by PT Akshaya Mulia Asha ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including individuals and organizations that subscribe to Sultan AI through our website at sultanai.id or any related services.

2. Service Description

Sultan AI is an omnichannel AI chatbot SaaS platform that enables businesses to automate customer interactions across multiple messaging channels, including but not limited to:

• WhatsApp Business API
• Instagram Direct Messages
• TikTok Direct Messages
• Shopee Chat

The Service includes AI-powered conversational agents, a training dashboard for customizing chatbot behavior, analytics, and related tools. Features may vary by subscription plan and may be updated, modified, or discontinued at our discretion with reasonable notice.

3. Accounts & Registration

To use Sultan AI, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. By registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Payment & Billing

Sultan AI offers the following subscription plans:

• Starter: Rp 4,500,000/month
• Growth: Rp 6,000,000/month

All prices are in Indonesian Rupiah (IDR) and are exclusive of applicable taxes unless stated otherwise. Payment terms:

• Subscriptions are billed monthly in advance
• Payment is due upon invoice issuance
• Late payments may result in suspension of the Service
• We reserve the right to modify pricing with 30 days' prior written notice
• No refunds are provided for partial months of service or unused features

5. Acceptable Use

You agree to use Sultan AI in compliance with all applicable laws and regulations. You shall not:

• Use the Service for any unlawful, fraudulent, or harmful purpose
• Send spam, unsolicited messages, or engage in deceptive practices through the chatbot
• Distribute malicious content, malware, or phishing attempts via the Service
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Interfere with or disrupt the integrity, security, or performance of the Service
• Resell, sublicense, or redistribute the Service without prior written consent
• Impersonate any person or entity, or misrepresent your affiliation
• Upload training data that infringes on third-party intellectual property rights

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

6. Data & Privacy

Your use of Sultan AI involves the processing of data, including messages exchanged between your chatbot and your customers. By using the Service, you acknowledge and agree that:

• You are responsible for obtaining appropriate consent from your end users for data collection and processing through the chatbot
• We process data in accordance with our Privacy Policy and applicable Indonesian data protection regulations (UU PDP No. 27/2022)
• Training data and conversation logs you provide remain your property, but we may use anonymized, aggregated data to improve the Service
• We implement reasonable security measures to protect your data but cannot guarantee absolute security

7. Intellectual Property

All rights, title, and interest in and to Sultan AI, including but not limited to the platform, software, algorithms, designs, documentation, and branding, are and remain the exclusive property of PT Akshaya Mulia Asha.

Your content: You retain ownership of all data, training materials, and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to use it solely for the purpose of providing and improving the Service.

Our content: You may not copy, modify, distribute, or create derivative works based on our proprietary technology, AI models, or platform design without prior written consent.

8. Third-Party Integrations

Sultan AI integrates with third-party platforms such as WhatsApp (Meta), Instagram (Meta), TikTok, and Shopee. Your use of these integrations is subject to the respective terms and policies of those platforms. We are not responsible for:

• Changes to third-party APIs or policies that may affect Service functionality
• Service interruptions caused by third-party platform outages
• Any disputes between you and third-party platform providers

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
• We are not liable for any AI-generated responses that may be inaccurate, misleading, or otherwise inappropriate
• In no event shall our total liability exceed the amount paid by you to us in the three (3) months preceding the event giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless PT Akshaya Mulia Asha, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Content or data you provide through the Service

11. Termination

Either party may terminate the subscription:

• By you: You may cancel your subscription at any time by contacting us. Cancellation takes effect at the end of the current billing cycle. No refunds are provided for the remaining period
• By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to the Service or other users

Upon termination, your right to access the Service ceases immediately. We may retain your data for up to 30 days after termination, after which it will be permanently deleted unless retention is required by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Jakarta, Indonesia.

Both parties agree to attempt to resolve any disputes amicably through good-faith negotiation before resorting to formal legal proceedings.
